Terms and Conditions
1. Introduction
This document outlines the terms and conditions under which DEC Umbrella (hereafter referred to as "the Company"), operating under The DEC Group Ltd (16110993), provides payroll services to its clients (hereafter referred to as "the Client"). The registered address of The DEC Group Ltd is Unit 25, First Floor, Doulton Trading Estate, Doulton Road, Rowley Regis, West Midlands, United Kingdom, B65 8JQ.
2. Scope of Services
The Company agrees to provide payroll processing services, including but not limited to:

Calculation and distribution of wages

Deduction of taxes and national insurance contributions

Preparation of payslips

Reporting to HM Revenue & Customs (HMRC)

Compliance with employment law and regulations
3. Client Obligations
The Client agrees to:

Provide accurate and timely information regarding employee details and payroll data

Ensure that all employees are legally entitled to work in the UK

Notify the Company of any changes in employee status or payroll requirements
4. Payment Terms
The Client agrees to pay the Company for services rendered on a [monthly/weekly] basis. Payment terms are [30 days/14 days] from the date of invoice.
5. Confidentiality
Both parties agree to maintain the confidentiality of all information exchanged during the course of the agreement. This includes employee data, payroll information, and any other sensitive information.
6. Liability
The Company shall not be liable for any errors or omissions in the payroll process unless such errors or omissions are due to the Company's negligence. The Client agrees to indemnify the Company against any claims arising from incorrect or incomplete information provided by the Client.
7. Termination
Either party may terminate this agreement with [30 days'] written notice. In the event of termination, the Company will provide payroll services for the notice period and invoice the Client accordingly.
8. Governing Law
This agreement shall be governed by and construed in accordance with the laws of England and Wales.
9. Dispute Resolution
Any disputes arising from this agreement shall be resolved through mediation or arbitration, as agreed upon by both parties.
10. Amendments
This agreement may be amended only by written agreement signed by both parties.
